1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the NaviKit Chrome browser extensions ("Extensions"), including NaviKit Amazon Seller Assistant and NaviKit TikTok Shop Seller Assistant, and our related services accessed through navikit.cc (collectively, the "Services").

By installing, accessing, or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, do not use our Services.

You must be at least 16 years old to use our Services. By using our Services, you represent and warrant that you are at least 16 years old and have the legal capacity to enter into these Terms.

2. Account Registration

To access certain features of our Services, you must register for an account. When registering, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Keep your password confidential and not share it with any third party
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

We reserve the right to suspend or terminate accounts that violate these requirements.

3. Subscription Plans and Billing

3.1 Available Plans

We offer the following subscription plans:

3.2 Payment Processing

Subscription payments are processed through Creem, our third-party payment provider. By subscribing to a paid plan, you agree to Creem's terms of service and privacy policy in addition to these Terms. We do not store your credit card information on our servers.

3.3 Auto-Renewal

Paid subscriptions automatically renew at the end of each billing period (monthly) unless you cancel before the renewal date. Upon renewal, you will be charged the then-current subscription price using the payment method on file.

3.4 Cancellation

You may cancel your subscription at any time. Upon cancellation:

• Your subscription will remain active until the end of the current billing period
• No partial refunds are provided for unused portions of the billing period
• Your account will revert to the Free plan after the current billing period ends
• Saved data associated with paid features (e.g., monitored products beyond the Free limit) may be removed

3.5 Price Changes

We may change our subscription prices from time to time. We will provide at least 30 days' notice before any price increase takes effect. Price increases will apply to your next billing cycle after the notice period. If you do not agree with the new price, you may cancel your subscription before the increase takes effect.

4. Usage Limits

• Free Plan: Limited to 50 feature uses per day per extension.
• Pro Plan: Unlimited feature usage. Monitored products limited to 10.
• Business Plan: Unlimited feature usage. Monitored products limited to 50.

We reserve the right to implement reasonable rate limits to prevent abuse, even for paid plans. Excessive automated usage may be restricted.

5. Acceptable Use

You agree not to:

• Use our Services for any unlawful purpose or in violation of any applicable laws or regulations
• Attempt to reverse engineer, decompile, disassemble, or otherwise derive the source code of our Extensions
• Use automated scripts, bots, or scrapers to excessively access our Services beyond normal usage patterns
• Share your account credentials with third parties or use another user's account
• Use our Services to engage in fraudulent activities on Amazon, TikTok Shop, or any other platform
• Interfere with or disrupt the integrity or performance of our Services
• Attempt to gain unauthorized access to our systems or another user's data
• Use our Services to compete directly with us or create a similar product
• Remove, alter, or obscure any proprietary notices on our Services

6. Intellectual Property

All content, features, functionality, software, and design of our Services, including but not limited to text, graphics, logos, icons, images, audio, software, and their compilation, are the exclusive property of NaviKit and are protected by international copyright, trademark, patent, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to use our Services for your personal or business use in accordance with these Terms. This license does not include the right to:

• Modify, adapt, or create derivative works of our Services
• Use any data extraction tools on our Services
• Download or copy any portion of our Services except as expressly permitted
• Use our brand, logos, or trademarks without prior written consent

7. Disclaimer of Warranties

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

• Our Services will be uninterrupted, timely, secure, or error-free
• The results obtained from using our Services will be accurate or reliable
• The quality of any products, services, information, or other material obtained through our Services will meet your expectations
• Any errors in our Services will be corrected

You understand and agree that any data, information, or analysis provided by our Services is for informational purposes only and should not be the sole basis for business decisions. You are solely responsible for verifying the accuracy of any data provided by our Services.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL NAVIKIT OR ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION:

• LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES
• DAMAGES RESULTING FROM UNAUTHORIZED ACCESS TO OR USE OF OUR SERVERS OR ANY PERSONAL INFORMATION STORED THEREIN
• DAMAGES RESULTING FROM ANY INTERRUPTION OR CESSATION OF OUR SERVICES
• DAMAGES RESULTING FROM ANY BUGS, VIRUSES, OR SIMILAR HARMFUL CODE TRANSMITTED TO OR THROUGH OUR SERVICES
• DAMAGES RESULTING FROM ERRORS OR INACCURACIES IN DATA OR ANALYSIS PROVIDED BY OUR SERVICES

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR OUR SERVICES EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY.

9. Account Termination

We may suspend or terminate your account and access to our Services at our sole discretion, without notice, for conduct that we determine:

• Violates these Terms
• Is harmful to other users, us, or third parties
• Constitutes fraudulent or illegal activity
• Results in excessive abuse of our Services

Upon termination:

• Your right to use our Services will immediately cease
• We may delete your account data in accordance with our data retention policy
• Provisions of these Terms that by their nature should survive termination shall survive, including without limitation ownership provisions, warranty disclaimers, and limitations of liability

10. Changes to Terms

We reserve the right to modify these Terms at any time. When we make changes, we will:

• Update the "Last updated" date at the top of this page
• Provide at least 30 days' notice for material changes via email or in-extension notification
• Obtain your consent where required by applicable law

Your continued use of our Services after the updated Terms become effective constitutes acceptance of the revised Terms. If you do not agree with the changes, you must stop using our Services and cancel your subscription.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the People's Republic of China, without regard to its conflict of law provisions.

Any disputes arising out of or related to these Terms or our Services shall be resolved through good-faith negotiation. If negotiation fails, disputes shall be submitted to the competent courts of the People's Republic of China.

12. General Provisions

• Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and NaviKit regarding our Services.
• Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
• Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
• Assignment: You may not assign or transfer your rights or obligations under these Terms without our prior written consent.
